ProWorxx Terms of Use

Important Notice
These Terms contain provisions that affect your legal rights, including disclaimers, limitations of liability, an agreement to resolve most disputes through individual binding arbitration, a class-action waiver, and a jury-trial waiver. Please review Section 25 carefully. You may opt out of arbitration by following the instructions in Section 25 within 30 days after first accepting these Terms.
1. Acceptance of These Terms
These Terms of Use (“Terms”) are a legally binding agreement between you and PROWORXX MAINTENANCE SERVICES LLC, doing business as ProWorxx (“ProWorxx,” “we,” “us,” or “our”), governing your access to and use of ProWorxx.com and any related websites, applications, artificial-intelligence features, communication tools, forms, widgets, content, and services that link to these Terms (collectively, the “Platform”).
By accessing or using the Platform, creating an account, submitting a service request, creating or claiming a professional profile, clicking a button indicating acceptance, or otherwise using a feature governed by these Terms, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Platform.
If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and that entity.
Certain features, programs, transactions, or services may be subject to additional terms, policies, disclosures, or agreements (“Supplemental Terms”). Supplemental Terms are incorporated into these Terms. If Supplemental Terms conflict with these Terms, the Supplemental Terms control for the feature or service they govern.
2. Definitions
For these Terms:
- “Consumer” means a property owner, resident, renter, buyer, seller, investor, real estate client, or other person or business using the Platform to search for, evaluate, request, or obtain services.
- “Professional” means a service provider, contractor, vendor, property-management company, leasing company, real estate professional, brokerage, or other person or business that offers or may offer services through or in connection with the Platform.
- “Service Request” means information submitted by a Consumer regarding a property, project, transaction, referral, listing, or other need.
- “Professional Services” means services offered or performed by a Professional, including home services, maintenance, repairs, improvements, property management, leasing, tenant placement, and real estate services.
- “Content” means text, photographs, images, audio, video, data, reviews, profile information, messages, documents, software, and other material made available through the Platform.
- “User Content” means Content that you submit, transmit, upload, publish, or otherwise provide through or in connection with the Platform.
3. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, submit a Service Request, register as a Professional, enter a transaction, or otherwise use transactional Platform features.
You agree to:
- Provide accurate, current, and complete information;
- Keep account and profile information updated;
- Maintain the confidentiality of your login credentials;
- Accept responsibility for activity conducted through your account;
- Notify us promptly of suspected unauthorized access; and
- Use the Platform only for lawful purposes.
You may not impersonate another person or company, create an account using information you are not authorized to use, create deceptive or duplicate accounts, sell or transfer an account without our written consent, or use the Platform after we have suspended or terminated your access.
We may reject an account or require additional information, identity verification, or business documentation.
4. ProWorxx’s Role
ProWorxx provides technology, information, directory, communication, referral, coordination, and related support intended to help Consumers and Professionals find and connect with one another.
Unless ProWorxx or an affiliated company is expressly identified in a separate written agreement as the provider of a particular service:
- ProWorxx does not perform the Professional Services;
- ProWorxx is not a party to the agreement between a Consumer and a Professional;
- ProWorxx does not employ, supervise, direct, or control independent Professionals;
- ProWorxx does not determine a Professional’s methods, schedule, personnel, tools, pricing, or contractual terms;
- ProWorxx is not a general contractor, property manager, real estate broker, employer, employment agency, insurer, or guarantor merely because the Platform facilitates a connection; and
- No agency, partnership, joint venture, franchise, employment, fiduciary, or similar relationship is created between ProWorxx and a user by use of the Platform.
When a Consumer hires or otherwise engages a Professional, the Consumer and Professional enter into a separate agreement directly with each other (a “Service Agreement”). They are solely responsible for agreeing on the scope, price, scheduling, payment, warranties, permits, insurance, cancellation terms, dispute procedures, and all other terms governing the Professional Services.
ProWorxx is not responsible for the acts, omissions, statements, services, pricing, performance, delays, property damage, injuries, disputes, or legal compliance of a Consumer or Professional.
An affiliate or selected partner—including Rent Solutions or another disclosed provider—may offer Professional Services through or in connection with the Platform. Any such services are governed by a separate Service Agreement identifying the responsible provider. The provider’s separate role does not make ProWorxx responsible for services performed by other independent Professionals.
5. Consumer-Controlled Connections
Consumers may browse and search the directory without authorizing ProWorxx to distribute their contact information.
When you select a Professional, request contact, request an estimate, schedule an appointment, ask a Care Coordinator to coordinate next steps, or otherwise direct us to make a connection, you authorize us to share the information reasonably necessary to fulfill that request with the Professional or company you selected.
ProWorxx will not treat a directory search alone as authorization to send your contact information to an open-ended group of Professionals. If you ask us to contact, compare, coordinate with, or obtain responses from multiple Professionals, we may share your information with the recipients reasonably necessary to fulfill that instruction.
Once your information is provided to an independent Professional, that Professional may contact you and will handle your information under its own privacy practices and legal obligations.
6. Care Coordinators and Local Support
A ProWorxx Care Coordinator may help clarify a request, locate resources, facilitate introductions, follow up on responsiveness, or assist with next steps.
Care Coordinators:
- Do not replace a licensed contractor, property manager, real estate broker, attorney, engineer, inspector, insurance professional, financial advisor, or other qualified professional;
- Do not guarantee that a Professional is available or will accept a project;
- Do not control the work or contractual relationship between a Consumer and Professional; and
- May rely on information supplied by users, Professionals, public sources, and automated tools.
You remain responsible for evaluating a Professional and deciding whether to enter a Service Agreement.
7. Professional Listings, Selection, and Verification
ProWorxx may display information about Professionals obtained from the Professional, users, public records, licensing databases, third parties, affiliates, or other sources. We may create an unclaimed business profile based on publicly available information.
Terms such as “verified,” “credential reviewed,” “selected,” “preferred,” “licensed,” “insured,” “background checked,” or similar descriptions refer only to the specific information and verification process identified on the Platform at the relevant time. They do not constitute:
- A guarantee that information remains current or complete;
- An endorsement of every employee, subcontractor, service, or business practice;
- A warranty of quality, safety, legality, availability, pricing, or results;
- A guarantee that a Professional will maintain a license, insurance, credential, or background status; or
- A substitute for a Consumer’s own evaluation and due diligence.
Licensing, insurance, permit, and credential requirements vary by location and service. Consumers should independently confirm that a Professional is appropriately qualified and authorized for the specific work before hiring.
ProWorxx may select or limit the Professionals displayed for a category or market based on factors such as service area, experience, responsiveness, credentials, availability, Platform participation, consumer feedback, operational fit, or business relationships. Placement and availability may change.
8. Consumer Responsibilities
Consumers agree to:
- Provide accurate property, project, contact, access, and scheduling information;
- Disclose known conditions or hazards that may affect safety or performance;
- Obtain any permissions required from an owner, association, resident, lender, insurer, or other party;
- Evaluate Professionals, quotes, credentials, insurance, contracts, and warranties;
- Comply with applicable laws and contractual obligations;
- Treat Professionals and Platform personnel respectfully;
- Pay amounts properly owed under a Service Agreement; and
- Use professional or emergency services when circumstances require them.
You may not submit a false, misleading, fraudulent, speculative, or unlawful Service Request or use a request to harvest information, solicit unrelated business, discriminate unlawfully, or interfere with another person’s rights.
9. Professional Responsibilities
Professionals represent and warrant that:
- Their profile, business, pricing, service, credential, licensing, insurance, availability, and contact information is accurate and current;
- They are legally authorized and appropriately qualified to offer and perform the services listed;
- They will obtain and maintain required licenses, registrations, permits, bonds, insurance, and approvals;
- They are responsible for personnel, subcontractors, taxes, equipment, safety, and legal compliance;
- They will comply with fair housing, antidiscrimination, consumer-protection, advertising, telemarketing, privacy, labor, licensing, building-code, and other applicable laws;
- They will use Consumer information only to respond to or fulfill the applicable request and for other purposes authorized by law;
- They will honor their Service Agreements and communicate honestly;
- They will not misrepresent affiliation with, endorsement by, or authority to bind ProWorxx; and
- They will not manipulate reviews, impersonate Consumers, submit fabricated leads, or engage in deceptive conduct.
Professionals are independent businesses and are not employees or agents of ProWorxx. Professionals have no authority to make commitments on behalf of ProWorxx.
Registration, profile inclusion, verification, selected status, or participation does not guarantee leads, contacts, projects, revenue, territory, rankings, referrals, or continued Platform access.
ProWorxx may review, modify, decline, suspend, or remove a profile or Professional from the Platform based on eligibility, accuracy, consumer experience, service quality, responsiveness, safety, legal compliance, market needs, business considerations, or violation of these Terms.
Additional Professional, vendor, advertising, subscription, referral, or program terms may apply.
10. Estimates, Pricing, Availability, and Service Information
Prices, cost guides, estimates, timelines, availability, service descriptions, and other information displayed on the Platform are informational unless expressly incorporated into a binding Service Agreement.
Actual price, scope, timing, and results may vary based on conditions that are not known or visible through the Platform. A Professional may revise an estimate after inspecting the property or learning additional facts.
ProWorxx does not guarantee:
- The accuracy or completeness of an estimate;
- That a Professional will respond, be available, or accept a request;
- That a service can be performed within a particular budget or timeframe;
- That Platform information reflects all taxes, permits, materials, fees, or conditions; or
- Any particular outcome from Professional Services.
11. AI-Assisted Features
The Platform may use artificial intelligence and automated tools to interpret requests, analyze information you submit, identify possible service categories, ask follow-up questions, summarize information, assist communications, support matching, or suggest next steps.
AI output:
- Is generated from available information and may be inaccurate, incomplete, outdated, or inappropriate;
- Is provided for general informational and organizational assistance;
- Is not a diagnosis, inspection, quote, warranty, code determination, or professional opinion;
- Does not replace evaluation by a qualified professional; and
- Should not be used as the sole basis for legal, financial, real estate, safety, structural, electrical, environmental, health, or other consequential decisions.
Do not use AI-assisted features for an emergency. For an immediate threat to life, health, safety, or property, contact 911 or the appropriate emergency or utility service.
You are responsible for reviewing AI-generated information before relying on it or sending it to another person. ProWorxx may use human review and service providers to operate, monitor, secure, and improve AI-assisted features as described in the Privacy Policy.
12. Property Management, Leasing, and Real Estate Information
Property-management, leasing, rental, and real estate information on the Platform is general information and may be provided by independent licensed companies or professionals.
Unless a separate agreement expressly identifies ProWorxx or an affiliate as the responsible licensed provider:
- ProWorxx does not act as your property manager, leasing agent, real estate broker, fiduciary, attorney, or financial advisor;
- A directory listing or introduction does not create a brokerage, property-management, agency, or fiduciary relationship;
- Rental rates, valuations, market analyses, investment projections, listing information, availability, and property details are not guaranteed; and
- You are responsible for reviewing and signing a separate agreement with the responsible licensed provider.
Professionals must comply with fair housing and other applicable laws. Users may not use the Platform to express or implement an unlawful discriminatory preference.
ProWorxx or an affiliate may receive compensation, referral fees, marketing fees, subscription fees, or other economic benefits from participating Professionals or completed introductions where permitted by law. Additional disclosures will be provided when required.
13. Payments, Fees, and Supplemental Programs
Some Platform features may be free, while others may require a fee, subscription, advertising payment, referral arrangement, or other charge. Applicable charges and material terms will be disclosed before you agree to pay.
If the Platform enables a payment to a Professional, payment services may be provided by an independent payment processor subject to its terms. ProWorxx is not responsible for payment-processor services.
Unless otherwise stated in Supplemental Terms:
- Fees paid to a Professional are governed by the Service Agreement;
- ProWorxx does not control a Professional’s refund, cancellation, or warranty policies;
- Platform or program fees are nonrefundable after the applicable service is delivered, except as required by law; and
- You authorize us and our payment provider to charge the payment method you provide for disclosed amounts.
Professional lead, membership, advertising, verification, referral, territory, and promotional programs may require separate terms. Those terms will control pricing, renewal, cancellation, lead eligibility, refunds, attribution, and compensation.
14. Communications, Calls, and Text Messages
By providing contact information and using communication features, you agree that ProWorxx and the Professional or company you select may contact you about your account, request, appointment, referral, or service relationship by email, telephone, text message, chat, or similar means, as permitted by law.
Message and data rates may apply. You agree to keep contact information current and to notify us if a telephone number is reassigned.
You may opt out of ProWorxx promotional emails through the unsubscribe link and promotional text messages by replying STOP. Transactional and service-related communications may continue where permitted.
Consent to receive automated marketing calls or texts is not a condition of purchasing goods or services. Where required, we will obtain separate consent before sending automated marketing communications.
Calls and video interactions may be monitored or recorded for quality, training, security, documentation, and legal purposes where permitted by law. We will provide required notice or obtain required consent.
15. Reviews and Ratings
Reviews should help users make informed decisions. By submitting a review, you represent that:
- It reflects your genuine, firsthand experience;
- It is accurate and not intentionally misleading;
- It is not submitted in exchange for undisclosed compensation or an improper incentive;
- You are not impersonating another person;
- It does not contain confidential or unlawfully obtained information;
- It does not violate intellectual-property, privacy, publicity, or other rights; and
- It is not defamatory, threatening, discriminatory, harassing, obscene, fraudulent, or unlawful.
Professionals may not write or arrange reviews of their own business, pressure a user to change an honest review, selectively prevent dissatisfied users from reviewing, or offer an incentive conditioned on a positive rating.
ProWorxx does not adopt every review as its own statement and does not guarantee that reviews are accurate or representative. We may moderate, decline, remove, delay, investigate, or preserve reviews consistent with our policies and applicable law. We are not obligated to resolve factual disputes between users and Professionals.
16. User Content
You retain ownership of User Content you create. By providing User Content, you grant ProWorxx and its affiliates a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, publish, distribute, adapt, format, translate, create derivative works from, and otherwise use the User Content as reasonably necessary to:
- Operate and provide the Platform;
- Display profiles, projects, portfolios, reviews, and communications;
- Promote the Platform or a participating Professional;
- Moderate, secure, troubleshoot, analyze, and improve the Platform;
- Operate and improve search, matching, and AI-assisted features; and
- Exercise our rights and perform our obligations under these Terms.
This license continues for as long as reasonably necessary for those purposes, subject to the Privacy Policy and applicable law. Public Content or Content incorporated into reviews, records, backups, legal files, or materials already distributed may not be capable of immediate or complete removal.
You represent that you own or control the rights necessary to provide User Content and grant this license.
We may, but are not required to, monitor, review, edit, refuse, remove, or restrict User Content.
17. Feedback
If you send ideas, suggestions, or feedback about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. Do not submit feedback you consider confidential.
18. ProWorxx Content and Intellectual Property
The Platform and its software, design, compilation, features, databases, text, graphics, logos, icons, photographs, videos, and other Content provided by ProWorxx (“ProWorxx Content”) are owned by or licensed to ProWorxx and are protected by intellectual-property and other laws.
Subject to compliance with these Terms, we grant you a limited, revocable, non-exclusive, nontransferable, and nonsublicensable license to access and use the Platform for its intended purpose.
You may not, without our written permission:
- Copy, reproduce, modify, distribute, sell, license, or commercially exploit ProWorxx Content;
- Scrape, crawl, harvest, index, or extract Platform data through automated means;
- Reverse engineer, decompile, or attempt to obtain source code;
- Frame or mirror a material part of the Platform;
- Remove proprietary notices;
- Use ProWorxx trademarks, branding, or Content in a misleading manner; or
- Build or train a competing directory, database, model, or service using Platform Content.
All rights not expressly granted are reserved.
19. Prohibited Conduct
You may not use the Platform to:
- Violate law or another person’s rights;
- Submit false, deceptive, fraudulent, or misleading information;
- Impersonate another person or misrepresent an affiliation;
- Harass, threaten, discriminate against, exploit, or harm another person;
- Post unlawful, defamatory, obscene, infringing, or malicious Content;
- Transmit malware, harmful code, spam, or unsolicited promotions;
- Circumvent access restrictions, security measures, or verification processes;
- Interfere with Platform operation or another user’s access;
- Collect, use, sell, or disclose personal information without authorization;
- Submit fake requests, leads, profiles, credentials, ratings, or reviews;
- Manipulate search results, rankings, reviews, referrals, or Platform metrics;
- Use bots or automated systems except with our written authorization;
- Use Consumer information for unrelated solicitation, resale, data enrichment, or list building;
- Facilitate unlawful discrimination, including housing discrimination;
- Arrange or request illegal, unsafe, prohibited, or unlicensed services; or
- Encourage or assist another person in doing any of the foregoing.
20. Third-Party Services
The Platform may contain links to, integrations with, or Content from independent Professionals, affiliates, payment processors, mapping providers, social networks, property-management companies, real estate companies, advertisers, and other third parties.
ProWorxx does not control and is not responsible for third-party Content, availability, terms, privacy practices, security, products, or services. Your use of a third-party service is governed by your agreement with that third party.
21. Privacy
Our collection, use, and disclosure of personal information is described in the ProWorxx Privacy Policy at https://proworxx.com/privacy-policy. The Privacy Policy is incorporated into these Terms.
22. Copyright Complaints
If you believe Content on the Platform infringes your copyright, send a notice to:

Your notice should include:
- Identification of the copyrighted work;
- Identification and location of the allegedly infringing material;
- Your contact information;
- A statement that you have a good-faith belief the use is not authorized;
- A statement, under penalty of perjury, that the notice is accurate and you are authorized to act; and
- Your physical or electronic signature.
We may remove or restrict allegedly infringing Content and terminate repeat infringers where appropriate.
23. Suspension, Termination, and Platform Changes
You may stop using the Platform at any time.
We may investigate conduct and may warn, restrict, suspend, deactivate, or terminate an account, profile, listing, request, or access if we reasonably believe:
- These Terms or Supplemental Terms have been violated;
- Information is inaccurate, deceptive, or unverifiable;
- Conduct creates fraud, safety, legal, reputational, or operational risk;
- A user is abusing the Platform or another person;
- Continued access may harm Consumers, Professionals, ProWorxx, or others; or
- Suspension or termination is otherwise permitted by law.
We may remove Content and cooperate with authorities as appropriate.
We may modify, update, suspend, discontinue, or restrict any part of the Platform. We do not guarantee that the Platform or any feature will remain available.
Sections that by their nature should survive termination—including provisions concerning ownership, User Content licenses, disclaimers, liability, indemnification, disputes, and general terms—will survive.
24. Disclaimers and Limitation of Liability
A. Platform Provided “As Is”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL PLATFORM CONTENT, SEARCH RESULTS, RECOMMENDATIONS, AI OUTPUTS, COMMUNICATION TOOLS, PROFILES, REVIEWS, ESTIMATES, REFERRALS, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.
PROWORXX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
PROWORXX DOES NOT WARRANT THAT:
- THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- INFORMATION, PROFILES, REVIEWS, CREDENTIALS, ESTIMATES, OR AI OUTPUTS WILL BE ACCURATE OR COMPLETE;
- A PROFESSIONAL WILL RESPOND, BE AVAILABLE, OR PERFORM SATISFACTORILY;
- A CONSUMER WILL HIRE, PAY, OR OTHERWISE COMPLETE A TRANSACTION;
- A PROFESSIONAL SERVICE WILL BE SAFE, LAWFUL, TIMELY, OR FREE FROM DEFECTS; OR
- ANY PARTICULAR RESULT, SAVINGS, REVENUE, LEAD VOLUME, OR OUTCOME WILL OCCUR.
YOU ASSUME THE RISK OF USING THE PLATFORM, SELECTING A PROFESSIONAL, ENTERING A SERVICE AGREEMENT, ALLOWING ACCESS TO PROPERTY, AND RELYING ON USER OR THIRD-PARTY CONTENT.
Some jurisdictions do not allow certain warranty disclaimers, so portions of this Section may not apply to you.
B. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROWORXX AND ITS PARENTS, AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS; PROPERTY DAMAGE; PERSONAL INJURY; OR COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO:
- THE PLATFORM OR INABILITY TO USE IT;
- A CONSUMER, PROFESSIONAL, OR THIRD PARTY;
- A SERVICE REQUEST, INTRODUCTION, SERVICE AGREEMENT, OR PROFESSIONAL SERVICE;
- USER CONTENT, REVIEWS, PROFILE INFORMATION, ESTIMATES, RECOMMENDATIONS, OR AI OUTPUT;
- UNAUTHORIZED ACCESS, SECURITY INCIDENTS, OR COMMUNICATIONS; OR
- THESE TERMS,
EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE PROWORXX PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID DIRECTLY TO PROWORXX FOR USE OF THE PLATFORM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS ($100).
Amounts paid directly to a Professional do not count as amounts paid to ProWorxx for purposes of this limitation.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
25. Dispute Resolution; Arbitration; Class-Action and Jury-Trial Waivers
Counsel review required: This Section is drafted for a U.S.-focused service operating from Florida. Confirm the arbitration administrator, opt-out process, notice address, fee allocation, and presentation through enforceable clickwrap before launch.
A. Informal Resolution
Before filing a claim, you and ProWorxx agree to make a good-faith effort to resolve the dispute informally.
The party initiating a dispute must send a written notice describing:
- The party’s name and contact information;
- The account or transaction involved;
- The facts and legal basis of the claim; and
- The specific relief requested.
Notices to ProWorxx must be sent to support@proworxx.com and 3111 W Martin Luther King Jr Blvd., Suite 100, Tampa, FL 33607. ProWorxx will send notices to the contact information associated with your account.
The parties will have 30 days after receipt of a complete notice to attempt resolution before commencing arbitration or litigation.
B. Agreement to Arbitrate
Except for matters listed in Section 25(C), you and ProWorxx agree that any dispute, claim, or controversy arising out of or relating to the Platform, communications, a Professional connection, these Terms, the Privacy Policy, or the relationship between you and ProWorxx will be resolved by final and binding individual arbitration under the Federal Arbitration Act.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, depending on the nature of the user and dispute, as modified by these Terms. The rules are available at adr.org.
The arbitration may be conducted by telephone, video conference, document submission, or in person as permitted by the applicable rules. Any in-person hearing involving a Consumer will take place in the county where the Consumer resides unless the parties agree otherwise.
The arbitrator may award the same individual remedies available in court but must follow these Terms and applicable law. Judgment on the award may be entered in a court with jurisdiction.
C. Exceptions
Either party may:
- Bring an individual claim in small-claims court if it qualifies;
- Seek emergency or temporary injunctive relief in court to prevent immediate harm while arbitration is pending;
- Seek relief in court for infringement or misuse of intellectual-property rights; or
- Pursue a remedy that applicable law does not permit to be arbitrated.
D. Class-Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PROWORXX AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate claims of different users or preside over a class, collective, consolidated, or representative proceeding unless both parties expressly agree in writing.
E. Jury-Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PROWORXX WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE COVERED BY THIS SECTION.
F. Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice within 30 days after the date you first accept these Terms.
The opt-out notice must include your name, address, email address, telephone number, account information if applicable, and a clear statement that you opt out of the ProWorxx arbitration agreement. Send it to support@proworxx.com with the subject “Arbitration Opt-Out” or by mail to 3111 W Martin Luther King Jr Blvd., Suite 100, Tampa, FL 33607.
Opting out of arbitration will not affect the other provisions of these Terms.
G. Severability of Arbitration Terms
If a court determines that a portion of this Section is unenforceable, that portion will be severed and the remaining portions will remain effective, except that if the class-action waiver is held unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court after all arbitrable matters are resolved.
26. Governing Law and Court Venue
These Terms and any dispute not subject to arbitration are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law applies.
Any court proceeding permitted under these Terms must be brought exclusively in the state courts located in Hillsborough County, Florida, or the United States District Court for the Middle District of Florida, Tampa Division. You and ProWorxx consent to the personal jurisdiction of those courts.
Nothing prevents ProWorxx from seeking relief in another jurisdiction to protect intellectual property or enforce a judgment.
27. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ProWorxx and its parents, affiliates, owners, officers, directors, employees, agents, licensors, service providers, and partners from claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses—including reasonable attorneys’ fees—arising out of or relating to:
- Your use or misuse of the Platform;
- Your User Content;
- Your violation of these Terms or applicable law;
- Your violation of another person’s rights;
- Information, representations, services, or products you provide;
- A Service Request or Service Agreement to which you are a party;
- Your Professional Services or conduct as a Professional;
- Your conduct toward a Consumer, Professional, Care Coordinator, or other person; or
- Activity through your account.
ProWorxx may control the defense of a matter subject to indemnification, and you agree to cooperate. You may not settle a claim in a manner that imposes liability or obligations on a ProWorxx party without our written consent.
28. Changes to These Terms
We may update these Terms periodically. The “Last Updated” date identifies the most recent revision.
If we make material changes, we may provide notice through the Platform, by email, or as otherwise required by law. Updated Terms become effective on the stated effective date. Continued use after the effective date constitutes acceptance, except where additional affirmative consent is required.
29. Electronic Communications and Signatures
You consent to receive agreements, disclosures, notices, and records electronically. Your click, electronic acceptance, or other electronic action may serve as your signature and have the same legal effect as a handwritten signature where permitted by law.
You may retain copies by printing or saving them. You are responsible for maintaining a valid email address and devices capable of accessing electronic records.
30. General Terms
A. Assignment
You may not assign or transfer these Terms or an account without our written consent. We may assign these Terms in connection with an affiliate relationship, financing, merger, acquisition, reorganization, sale of assets, or by operation of law.
B. Severability
Except as specifically provided in Section 25, if a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.
C. No Waiver
Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by an authorized representative.
D. Entire Agreement
These Terms, the Privacy Policy, and applicable Supplemental Terms constitute the entire agreement between you and ProWorxx concerning the Platform and supersede prior or contemporaneous communications on that subject.
E. Order of Precedence
If Supplemental Terms conflict with these Terms, the Supplemental Terms control only for the feature, program, or transaction they govern.
F. No Third-Party Beneficiaries
Except for ProWorxx parties entitled to indemnification or liability protections, these Terms do not create third-party beneficiary rights.
G. Headings
Headings are for convenience and do not limit interpretation. “Including” means “including without limitation.”

- Define exactly what each “verified,” “selected,” “licensed,” “insured,” or similar badge means and how frequently it is rechecked.
- Ensure the user interface does not imply that ProWorxx guarantees or employs independent Professionals.
- Add a conspicuous emergency disclaimer to AI and home-safety interactions.
- Confirm whether ProWorxx will process payments; if so, align these Terms with the payment provider and actual refund workflow.
- Register a DMCA agent with the U.S. Copyright Office if relying on applicable DMCA safe-harbor protections.
- Align these Terms with the final Privacy Policy, cookie banner, AI disclosures, call-recording notices, and consumer-controlled contact flow.
- Have qualified counsel review the final Terms and actual Platform operations before launch.
